Contract Agreement

1. Timeline and Scope of Work Flidoh Animation studio agrees to produce an animation project as outlined in the attached quotation. This project will begin on . During the production, all updates and deliverables will be available on your portal which will be created after finishing this onboarding process. Updates are inform of Three deliverable for your approval and will be as follows:

Script Upload
Character Design
Environmental Design
Animation Stage
Demo Animation Approval
Coloring and Lighting
Final Render
Compositing
Approval
Delivery

2. Delivery and Revisions

Approval Process: Each deliverable will be submitted for approval before the next stage. Approved deliverables are final and cannot be revised.
Due date is approcimatly 2 weeks or less. Official due date is written in the portal header bar after signing this contract.
Timely Feedback: agrees to provide feedback within 2 business days of receiving a deliverable to maintain the project timeline. Delays exceeding 1 week may result in project hibernation.

3. Payment Terms The total project cost is attached in the quotation. Payment schedule:

Full payment is required before initiating the production of the animation project.
In the case of 70% down payment, 30% payment is required upon completion of the Demo Animation Approval before next approval.
All payments should be presented with an attached PoP (Proof of Payment to be attached on the portal signup)
All payments are non‑refundable unless the Studio fails to deliver as per the terms of this contract.
The mode of payment is wireless through bank transfer or through our pay wall (Lenco mobile money).

4. Changes, Delays, and Cancellations

Changes to Scope: Changes to the initial agreed project concept must be documented in written. Flidoh Studio reserves the right to accept or refuse scope changes. Approved scope changes will be charged depending on the complexity and diversion from initial.
Cancellation Clause: may cancel an active on‑going project by providing 7 days' written notice. Cancellation fees are as follows:
- 70% of the total price if canceled during early production.
- 85% of the total price if cancelled after substantial work has been completed.
The Studio reserves the right to hibernate or terminate the project with written notice if breaches this Contract or delays feedback excessively.

5. Confidentiality and Intellectual Property

Confidentiality: Both parties agree to maintain the confidentiality of project details, pricing, and proprietary methods. agrees not to disclose pricing or processes to other third parties. Flidoh Studio agrees to keep all Client's materials, scripts, and media files private.
Intellectual Property Rights: The assets and characters created by the animators of this animation are properties of the Flidoh Studio. The final animation video will become the property of . With written consent Flidoh Studio retains the right to use the project in its portfolio and for advertising, promotional purposes online.

6. Force Majeure Flidoh Studio is not liable for delays caused by circumstances beyond its control, such as natural disasters, technical issues, or other unforeseen events. In such case written communication could be provided stating the resolution and updates to the delivery date.

WEBSITE DESIGN & DEVELOPMENT AGREEMENT

1. Project Scope and Timeline

All progress updates, drafts, and deliverables will be accessible through your client portal, which will be created upon completion of onboarding. 2. Delivery and Revisions

Approval Process Each stage must be approved before proceeding to the next. Once approved, a stage is considered final. Any changes requested after approval will be treated as a new scope and may incur additional fees. Timely Feedback agrees to provide feedback within 2 business days of receiving deliverables. Delays beyond 7 days may result in project hibernation. Projects inactive for more than 14 days may require a reactivation fee and an adjusted timeline.

3. Payment Terms

The total project cost will be stated in the invoice. Payment Structure:

A non-refundable 70% deposit is required to begin the project.
The remaining 30% must be paid before content uploading deliverable.
Alternatively, full payment upfront may be made before project initiation.

Development work will not commence until payment requirements are met. All payments must include a Proof of Payment (PoP). Payments are accepted via:

Bank Transfer
Lenco Mobile Money (Paywall)

All payments are non-refundable, unless Flidoh Studio fails to deliver as per this agreement.

4. Changes, Delays, and Cancellations

Scope Changes Any changes to the agreed scope must be submitted in writing. Flidoh Studio reserves the right to accept or decline changes. Approved changes may incur additional fees based on complexity. Client Delays Flidoh Studio is not responsible for delays caused by late submission of required content, materials, or feedback from the client. Cancellation Clause may cancel the project with 7 days written notice. Cancellation fees:

70% initial deposit is non refundable if cancelled during deliverables before content upload.
100% non refundable if cancelled before launch

Flidoh Studio reserves the right to suspend or terminate the project if the client breaches this agreement or repeatedly delays communication.

5. Confidentiality and Intellectual Property

Confidentiality Both parties agree to keep all project details, pricing, and processes confidential. The client agrees not to disclose Flidoh Studio’s pricing or workflow. Flidoh Studio agrees to keep all client materials and credentials secure and private. Intellectual Property All custom designs and layouts become the property of upon full payment. If wishes to transfer hosting, extra charges will be applied. {Brand} does not have rights to own the codes used in the website development. Flidoh Studio retains the right to showcase the project in its portfolio and promotional materials unless otherwise agreed in writing.

6. Hosting, Maintenance, and Third-Party Services

Flidoh Studio is not responsible for:

Free hosting services after 1 year
Domain renewals
Third-party plugins or licenses

Any third-party costs are the responsibility of the client. Flidoh Studio is not liable for downtime, security issues, or performance problems caused by third-party services.

7. Post-Launch Support

Flidoh shall maintain 6 months post-launch support for the website for it's full optimal operation

Any additional updates, features, or changes beyond this period will be treated as new work and billed accordingly.

8. Client Responsibilities

The client agrees to:

Provide accurate and complete project information
Submit required content (text, images, branding assets) on time
Assign a single point of contact for approvals and communication and admin.
Ensure timely responses to avoid delays

9. Force Majeure

Flidoh Studio is not liable for delays caused by events beyond its control, including but not limited to natural disasters, technical failures, or unforeseen circumstances. Any such delays will be communicated with updated timelines.
